These terms are provided in Korean and English. If the two versions differ, the English version applies (Article 12).
These terms apply to coaches, club administrators, academy operators and anyone else who runs a team, club, academy or league in Scout. For Organisations based in Korea the contracting party is Nectr Limited (넥터 주식회사); for all others it is Team Scout Inc. For users who held such a role before 16 October 2026 they apply from 15 November 2026.
1.1 These terms apply to you when you use Scout as a coach, club administrator, academy operator or in any other role that runs a team, club, academy or league (an "Organisation"). They add to the Scout Terms of Service, which still apply to you as a user. If these terms and the Terms of Service conflict, these terms apply to your Organisation role.
1.2 "Scout", "we" and "us" mean Nectr Limited (넥터 주식회사) for Organisations based in the Republic of Korea, and Team Scout Inc., a Delaware corporation, for all others. Each company's details are in the contact block at the end of these terms.
1.3 Order of documents for your Organisation role: the terms for a specific feature (for Class Passes, the Class Pass Terms at https://www.teamscout.app/class-pass-terms, version academy-class-passes-v3), then these terms, then the Payment Processing Agreement (version scout-ppa-v2), then the Terms of Service, then the Data Processing Agreement (version scout-dpa-v2) for the personal information it covers.
1.4 "You" means the person accepting and the Organisation they act for. By accepting, you confirm that you have authority to bind the Organisation.
2.1 These terms apply to everyone who holds a coach or club-administrator role from the effective date. Where the app asks you to accept these terms, you accept by ticking the acceptance box; nothing is pre-ticked. For anything that does not require your consent under the law, continuing to use your Organisation role after the effective date counts as acceptance of these terms only where the law allows. Anything that requires your consent under the Personal Information Protection Act is not treated as accepted by continued use.
2.2 If you held such a role before 16 October 2026, these terms apply to you from 15 November 2026. Scout will tell you in the app and by email before then and ask you to accept once the app supports it. If you do not accept, you may stop using your Organisation role; Products already sold must still be honoured under Article 9.1.
2.3 You accept the Payment Processing Agreement separately when you enable payments, and the Class Pass Terms separately when you publish Class Passes.
2.4 Where you accept in the app, Scout records that you accepted and when, the account and the Organisation, and keeps each acceptance record for 3 years after it ends. Earlier versions are available on request at hello@teamscout.app.
"Guardian" means a parent or legal guardian of a player under the age of majority (19 in Korea; 18 elsewhere), and includes an adult participant paying for themselves.
"Member" means a player, Guardian or other person who belongs to your Organisation in Scout.
"Member Data" means personal information about Members that you collect or receive through Scout.
"Child" means a person under 14.
"Product" means anything you sell through Scout: tuition, dues, event fees or other invoices, and Class Passes.
4.1 Keep your Organisation's name, contact details and, if you sell Products, the seller details in Article 5.3 accurate. Do not represent an Organisation you do not act for.
4.2 You decide who in your Organisation has coach or club-administrator access and you are responsible for what they do in those roles. Remove access promptly when someone leaves. Scout does not verify the identity of a club or its staff at sign-up; Scout relies on your statements and acts on reports.
4.3 You add Members to rosters and confirm Guardian links. For a Child you must have the Guardian's consent before you enter the Child's details, and you must not ask a Child for information directly.
4.4 Use Scout's messaging and notifications only for running your Organisation. No unsolicited marketing to Members through Scout, and no marketing to Children.
4.5 Do not use Scout to sell goods, take deposits or donations, run raffles, or sell anything other than your own coaching, classes, memberships and team activities.
4.6 If you post photos or videos that show a child in Scout (team feed, chat, profiles), you warrant that the child's Guardian has agreed to sharing within the team, and you will remove the content promptly if the Guardian asks.
5.1 When a Guardian pays for a Product, you are the seller and the contract for the Product is between you and the Guardian. Scout is the platform and the payment intermediary: it provides the software, displays your charge, collects payment through its payment providers on your behalf, and pays out to you under the Payment Processing Agreement. Scout is not a party to the sale of your Product. In Korea, Scout is a mail-order intermediary (통신판매중개자) and you are the mail-order seller (통신판매업자). Scout's role does not remove any duty the law places on Scout as an intermediary.
5.2 Scout's own products (Scout subscriptions for Organisations) are sold by Scout; you are not the seller of those.
5.3 So that Guardians know who they are buying from, you must provide on Scout's request, and tell your Members, your trade name, representative's name, business registration number (if any), address, phone number and email, and in Korea your mail-order business report number where you have one, and you agree that Scout may show these to Guardians.
5.4 What you publish about an invoice or Product (what it is, who it is for, where and when it runs, price, validity, refund terms) must be accurate and not misleading. It forms part of your contract with the Guardian. Where Scout has no field for one of these, tell your Members another way before they pay.
5.5 Deliver the Product as described, with suitably qualified people. A Product already sold keeps the price, count and validity it was sold with.
5.6 If you cancel a session, class or event, tell affected Guardians before it where you can and as soon as possible otherwise, and return the entitlement (a make-up session or a refund of that session's share of the price). If you stop running a Product or cannot deliver what remains, offer each Guardian a workable alternative or a refund of the unused portion under Article 6.
5.7 Answer questions, complaints and refund requests within 3 business days. Do not pressure anyone to give up a legal right, and do not steer a Guardian off Scout to avoid a refund already requested.
5.8 Hold every registration, report, licence, qualification and insurance the law requires for what you sell (for example business registration, private-institute registration or sports-facility reporting where they apply) and give Scout evidence on request.
5.9 You are responsible for your own taxes, for registering and posting fees where the law requires it, and for any invoice or receipt the law requires that Scout's payment provider does not issue.
6.1 You set prices in the currency Scout supports for your Organisation. The price shown to a Guardian must include VAT where it applies.
6.2 Scout's fee is 3% of the invoice amount (the amount before the fee), on every payment method alike. For each invoice you choose who bears it: deducted from your payout (the Guardian pays the invoice amount), added on top (the Guardian pays 103%), or split evenly (the Guardian pays 101.5%). The amount the Guardian will actually pay is shown before they pay.
6.3 Payouts, reserves, chargebacks and recovery of refunded amounts follow the Payment Processing Agreement. Scout is not a bank; funds are held and moved by Scout's payment providers.
6.4 Refunds are decided by you as the seller, and you must honour the rights the applicable law gives the Guardian (withdrawal, termination of a continuing contract and similar). Answer a refund request within 3 business days. If you agree to a refund, Scout processes it through the payment provider to the original payment method when you or the Guardian write to hello@teamscout.app. The amount refunded is the Product amount paid out to you; Scout's processing fee is not refunded. Amounts already paid out to you are recovered from your later payouts under the Payment Processing Agreement.
6.5 If you do not answer a refund request, cannot be reached, or the law clearly requires a refund, Scout may refund the Guardian after telling you and recover the amount from you under the Payment Processing Agreement.
6.6 Nothing in these terms limits a Guardian's statutory right to withdraw from a distance contract or any other consumer right against you or against Scout.
6.7 For the publication, validity, booking, cancellation and refund of Class Passes, the Class Pass Terms take precedence over this Article.
7.1 For Member Data you decide why and how it is used to run your Organisation, and you are responsible for it under the law that applies to you (in Korea, the Personal Information Protection Act). Scout processes Member Data on your behalf to provide the Services under the Data Processing Agreement. Scout is an independent controller for accounts, platform security, and its own legal duties in payments (receipts, tax and transaction records), under its Privacy Policy; for other payment data it is your processor.
7.2 Use Member Data only to run your Organisation and the Products you sell. Do not use it for marketing without the Member's separate consent, share it outside your staff, export it for another purpose, or keep it after the Member leaves beyond what the law requires. Do not share logins, do not paste rosters into open chats, and delete exports you no longer need.
7.3 Information about a Child needs the Guardian's consent and extra care. Do not collect it from the Child directly, and do not collect more than you need. Use health information only where the Member has provided it through Scout's health features.
7.4 If a Guardian or Member asks you to see, correct or delete their data, do it through Scout or tell them how to use the app; tell Scout at hello@teamscout.app if you cannot. Scout will act on a Guardian's withdrawal of a consent Scout collected without asking you.
7.5 Scout stores service data in the United States (AWS us-east-1 region, through Supabase). Providers Scout uses outside Korea are listed in the overseas-transfer section of the Privacy Policy and the sub-processor schedule of the Data Processing Agreement.
7.6 A small number of Scout engineers may access your Organisation's data to the extent needed for support, fixing faults, security investigation and legal compliance, under the Data Processing Agreement.
7.7 Tell Scout without delay at hello@teamscout.app if you become aware of loss, leak or misuse of Member Data. Scout will tell you of an incident on its side as the Data Processing Agreement and the law require.
8.1 You are responsible for the safety of players in your care. Where players are under the age of majority you must: supervise them appropriately for their age and the activity; make sure every person who coaches or supervises them has passed the background checks the law requires for that role (in Korea, criminal-record and child-abuse-record checks for staff at private institutes and sports facilities); keep a way to reach each player's Guardian during sessions; follow your legal duties to report suspected abuse; and tell the Guardian promptly about any injury or safety incident.
8.2 Do not use Scout's messaging to communicate privately with a Child outside the team context, and do not share a Child's photo, contact details or location outside the Organisation.
8.3 Scout may suspend any role or Organisation immediately on a credible child-safety concern (Article 9.2) and may report to authorities where the law requires or permits.
9.1 You may disable payments or Class Passes at any time. Products already sold stay valid and you must keep honouring them or refund the unused portion. You may close your Organisation in Scout; Member Data is handled under Article 7 and the Data Processing Agreement, and Scout keeps the records it must keep by law.
9.2 Scout may pause payments, payouts or publishing, or suspend a role or an Organisation, after telling you why where it lawfully can, if: you seriously or repeatedly break these terms; there is a credible safety concern involving players; you lack a required registration; refund requests, chargebacks or reports suggest Guardians or children are at risk; or the law or a payment provider requires it. Scout will lift a suspension that turns out to be unjustified.
9.3 If you plan to close or to stop running sessions for a period, tell Guardians who hold unused Products at least 14 days beforehand and refund what you will not deliver.
9.4 Articles 5.5–5.7, 6.4–6.6, 7, 10 and 12 continue to apply to Products already sold.
10.1 You are responsible for your Products, for the safety of players in your care, for what you publish, and for the permissions you warrant.
10.2 Scout is responsible for the Services it provides: showing your charges as you published them; recording payments and payouts correctly; and handling payments as the Payment Processing Agreement says.
10.3 If a Guardian, player, authority or other person brings a claim against Scout because of your Products, your conduct, your content or your breach of these terms or the law, you will cover Scout's reasonable loss and costs, except to the extent Scout caused them.
10.4 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, for intentional or grossly negligent acts, or for anything that cannot be limited by law. Otherwise, to the extent the law allows, Scout is not liable for loss that was not a foreseeable result of its breach or for loss of profit or business. Liability under the Payment Processing Agreement is governed by that agreement alone.
10.5 Nothing in these terms limits a Guardian's or player's rights against you or against Scout.
11.1 Each version of these terms has its own id and effective date and does not change once published.
11.2 Scout will tell you about a new version in the Services and by email at least 30 days before a material change takes effect, and at least 14 days before any other change. The notice says what is changing and what happens if you do nothing.
11.3 A new version applies to you once you accept it. Scout asks you to accept in the app and, from the effective date, may pause the features concerned (such as payments) until you do. If you do not agree, disable the feature before the effective date; Article 9.1 then applies.
11.4 A new version never changes the price, count or validity of a Product already sold.
12.1 For Organisations in Korea, these terms are governed by the law of the Republic of Korea and disputes go to the court with jurisdiction under the Korean Civil Procedure Act. For all other Organisations, the law of the State of Delaware governs and the courts of Delaware have jurisdiction, except where mandatory law of the country where you are based gives you more protection.
12.2 These terms are provided in English and Korean. If they differ, the English version applies.
12.3 If part of these terms cannot be enforced, the rest still applies. You may not assign these terms; Scout may assign them to a successor with notice.
Addendum: These terms are version scout-coach-club-terms-v1 and take effect on 16 October 2026 for new users and on 15 November 2026 for users who registered before 16 October 2026. Privacy officer: David Neilsen (hello@teamscout.app).
