Scout Class Pass Terms

For Coaches and Academy Operators

English

These terms are provided in Korean and English. If the two versions differ, the English version applies (Article 15).

These terms apply when a coach or academy publishes Class Passes for sale through Scout. Class Passes are currently offered only to teams and academies in Korea, priced in Korean won, and the Scout company you contract with is Nectr Limited (넥터 주식회사).

Article 1. What these terms are

1.1 These terms apply when you publish Class Passes for sale through Scout. For teams and academies in Korea, "Scout", "we" and "us" mean Nectr Limited (넥터 주식회사). In every other market they mean Team Scout Inc.

1.2 You also remain bound by the Scout Terms of Service and the Payment Processing Agreement. For Class Passes, these terms come first, then the Payment Processing Agreement, then the Terms of Service.

1.3 These terms cover Class Passes only. They do not cover memberships, wallet top-ups, invoices or pay-per-class payments.

Article 2. Definitions

"You" or the "Coach" means the person or business that operates the team or academy in Scout and publishes Class Passes, including the business you act for.

"Guardian" means the person who buys a Class Pass: an adult participant, or the parent or legal guardian of a participant who is a minor (under 19 in Korea).

"Participant" means the person who attends the class.

"Class Pass" means a prepaid right to attend a set number of your classes.

"Pass Option" means one row you publish: the number of classes, the price and, if you set one, the validity period. You may publish up to five.

"Class Contract" means the agreement to provide classes in exchange for a Class Pass.

"Returned Pass" means one class credited back to a pass balance after a cancellation under Article 8.

Article 3. Who sells the Class Pass

3.1 You are the seller of the Class Pass and the provider of the classes. The Class Contract is between you and the Guardian. Scout is the platform and the payment intermediary (an online sales intermediary, 통신판매중개자): it provides the software, shows your Pass Options to your members, arranges payment collection through its payment providers, and pays out to you under the Payment Processing Agreement. Scout is not a party to the Class Contract.

3.2 So that Guardians know who they are buying from, you must keep the following accurate in Scout, and you agree that Scout may show it to Guardians before purchase: your trade name, representative's name, business registration number (if you have one), address, phone number and email.

3.3 Scout's role does not remove any responsibility the law places on Scout as an intermediary.

Article 4. Accepting these terms

4.1 You accept these terms by opening them from the Class Passes setup screen, ticking "Accept Terms & Conditions" and publishing. Scout does not record acceptance if the terms cannot be displayed.

4.2 Scout records the version of these terms, the content hash of the archived text, the time, the team and the account that accepted. That record points to the exact version you accepted. Scout keeps each acceptance record for 3 years after the acceptance ends. Scout keeps earlier versions and gives you a copy on request.

4.3 The person accepting confirms that they have authority to bind the business that runs the team or academy.

Article 5. Publishing Pass Options

5.1 You choose the number of classes, the price and whether the pass has a validity period, within the limits of the service.

5.2 Before a Guardian pays, they must be able to see what they are buying: which classes the pass can be used for, who the classes are for, where and when they run, the price, the validity period and your refund terms. Where Scout has no field for one of these, you must tell your members another way before they buy.

5.3 What you publish must be accurate and must not mislead. It forms part of the Class Contract.

5.4 Editing or disabling a Pass Option affects only passes sold afterwards. Passes already sold keep the count, price and validity they were sold with.

5.5 You may use Class Passes only to sell classes. You may not use them to take payment for goods, other services, deposits or donations.

Article 6. Prices, fees and tax

6.1 You set prices in the currency Scout supports for your team (currently Korean won). The price a Guardian sees must be the total they will pay, including VAT where it applies.

6.2 Scout's fee is 3% of the face amount of the pass price (the amount before the fee), as set out in the Payment Processing Agreement. Where the service lets you choose who bears the fee, the Guardian is always shown the total before paying.

6.3 You are responsible for your own taxes, for registering and posting your tuition fees where the law requires it, and for giving Guardians any receipt the law requires that Scout's payment provider does not issue.

6.4 Payouts, reserves, chargebacks and recovery of refunded amounts follow the Payment Processing Agreement.

Article 7. Validity and expiry

7.1 A Class Pass may be sold with or without a validity period. If you set one, the purchase screen shows it before payment.

7.2 A validity period of N days runs for exactly N × 24 hours from the moment of purchase. It is not counted by calendar date. A pass cannot be used at or after that moment. A pass sold without a validity period stays usable until it is used or refunded.

7.3 A pass can be used for a class only if it is still valid both when the class is deducted and when the class starts. Scout uses the pass that expires soonest first, and passes without a validity period last.

7.4 A validity period never shortens a pass already sold and is never added to a pass sold without one.

7.5 You must set a validity period that gives a Guardian a fair chance to use every class in the pass, given how often you run the classes.

7.6 The end of a validity period stops the pass being used in Scout. It does not by itself end any right the Guardian has by law to an extension or to money back for classes not taken. Article 9 applies to those requests.

Article 8. Bookings, cancellations and no-shows

8.1 If a Guardian cancels a booking at least 24 hours before the class starts, the class is returned to their pass. A Coach, club admin or academy manager may also return a class inside the 24 hours.

8.2 If you cancel a class, or remove a walk-in, the class is returned to each affected pass. You must tell affected Guardians before the class where you can, and as soon as you can otherwise.

8.3 A Participant who does not attend a booked class is recorded as a no-show and the class is not returned automatically. You may return it at your discretion.

8.4 A Returned Pass keeps its original validity period if that has not ended. If it has ended, that one returned class is valid for 720 hours from the time of return. Nothing else in the same purchase is extended.

8.5 You must record attendance accurately. Do not mark a Participant as present or as a no-show in order to take a class you did not deliver.

8.6 If you stop running a class, change it substantially, or cannot deliver the remaining classes on a pass, you must offer the Guardian either a workable alternative or a refund for the unused classes under Article 9.

Article 9. Refunds

9.1 A Guardian may end a Class Pass at any time. The cancellation takes effect when the Guardian asks for it: from then the unused classes can no longer be booked, and you refund the unused portion.

9.2 The refund is pro-rata with no penalty: the price actually paid × unused classes ÷ classes in the pass. You may not deduct a cancellation charge or penalty. Where the law that applies to your classes gives the Guardian more than this, the law applies.

9.3 You may offer more generous refund terms. Whatever you offer must be visible to Guardians before they buy. You must not publish, apply or tell a Guardian any refund term that gives them less than this article or the law. If you publish no refund terms, Article 9.2 applies.

9.4 A Guardian asks you for a refund. You must answer within 3 business days and, if a refund is due, start it within that time. Refunds go back to the original payment method through Scout's payment provider wherever possible, using the refund route Scout provides in the service or, where the service has no such route, through Scout support.

9.5 If you do not answer in time, cannot be reached, or the law clearly requires a refund, Scout may refund the Guardian after telling you, and recover the amount from you under the Payment Processing Agreement.

9.6 The Guardian is refunded in full, including the Scout processing fee they paid on the refunded amount. Neither Scout's fee nor the payment provider's cost is deducted from the Guardian's refund. The processing cost of the refunded payment is recovered from your payout under the Payment Processing Agreement.

9.7 A refund removes the refunded classes from the pass balance. Nothing in these terms limits a Guardian's statutory right to withdraw from an online purchase or any other consumer right.

Article 10. Your responsibilities

10.1 Deliver the classes you sold, as described, with suitably qualified people.

10.2 Hold every registration, report, licence, qualification and insurance the law requires for the classes you run, for example business registration, private institute registration or sports facility business reporting where they apply, and give Scout evidence on request.

10.3 Keep children safe. Where Participants are minors you must supervise them appropriately for their age and the activity; make sure every person who teaches or supervises them has passed the background checks the law requires for that role; keep a way to reach each Participant's Guardian during a class; follow your legal duties to report suspected abuse; and tell the Guardian promptly about any injury or safety incident.

10.4 Deal fairly with Guardians. Answer questions and complaints within a reasonable time and do not pressure anyone to give up a legal right.

10.5 Do not misuse the service. Do not take payment for anything other than your own classes, do not record false attendance, and do not steer a Guardian away from Scout to avoid a refund already requested.

Article 11. Personal information

11.1 For the Class Contract, you decide why and how Participant and Guardian information is used to run your classes, and you are responsible for it under the Personal Information Protection Act. Scout operates the service under its own Privacy Policy and Data Processing Agreement.

11.2 You may use information you receive through Class Passes (names, bookings, attendance, pass balance) only to run and administer those classes. You must not use it for marketing, share it or export it for another purpose without the Guardian's separate consent, and you must protect it.

11.3 Information about children under 14 needs the consent of their legal guardian and extra care. Do not ask Participants under 14 for information directly.

11.4 You do not receive Guardians' card or bank details.

11.5 Scout stores service data with the infrastructure and service providers listed in its Privacy Policy. Some of them are outside Korea.

11.6 Tell Scout without delay at hello@teamscout.app if you become aware of loss, leak or misuse of member information.

Article 12. Disabling, suspension and closing

12.1 You may disable Class Passes at any time. New sales stop. Passes already sold stay valid, and you must keep honouring them or refund the unused classes.

12.2 Scout may pause new sales or payouts, after telling you why where it lawfully can, if: you seriously or repeatedly break these terms; there is a credible safety concern involving Participants; you do not hold a required registration; refund requests or chargebacks suggest Guardians are at risk; or the law or a payment provider requires it.

12.3 If you plan to close, or to stop running classes for a period, you must tell Guardians who hold unused classes at least 14 days beforehand and refund the unused classes you will not deliver.

12.4 Articles 8, 9, 11, 13 and 15 continue to apply to passes already sold.

Article 13. Liability

13.1 You are responsible for the classes, for the safety of Participants while they are in your care, and for what you publish.

13.2 Scout is responsible for the service it provides: showing Pass Options as you published them, recording purchases, balances, deductions and expiry correctly, and handling payments as the Payment Processing Agreement says.

13.3 If a Guardian, Participant or authority brings a claim against Scout because of your classes, your conduct or your breach of these terms or the law, you will cover Scout's reasonable loss and costs, except to the extent Scout caused it.

13.4 Nothing in these terms excludes or limits liability for intent or gross negligence, for death or personal injury caused by negligence, or for anything the law does not allow to be excluded or limited. These terms set no separate limit on liability.

13.5 Nothing in these terms limits a Guardian's or Participant's rights against you or against Scout.

Article 14. Changes and versions

14.1 Each version of these terms has its own version identifier and effective date, and its text does not change once it takes effect. A correction, however small, is a new version.

14.2 Scout tells you about a new version in the service and by email at least 30 days before a material change takes effect. The notice says what is changing and what happens if you do nothing.

14.3 A new version applies to you once you accept it. Scout asks you to accept it the next time you publish, and from its effective date may pause new sales until you do.

14.4 If you do not agree, disable Class Passes before the effective date. Article 12.1 then applies.

14.5 A new version never changes the count, price or validity of a pass already sold.

Article 15. Law, disputes and language
