이용약관은 Team Scout가 제공하는 서비스(이하 “Team Scout 서비스” 또는 “서비스”)에 대한 접근 및 사용을 규율합니다.Team Scout Inc.는 팀 및 조직 관계 관리 소프트웨어(“Scout”, “Team Scout”, “당사”, “우리”)를 제공하는 회사입니다. 당사는 전 세계의 코치, 학부모, 선수(청소년 및 성인), 스포츠 조직 관리자에게 조직 및 스포츠 활동 운영을 위한 도구와 서비스를 제공합니다. Team Scout 서비스는 Team Scout Inc. 및 그 계열회사(승계인 포함)에 의해 제공됩니다.본 이용약관은 사용자의 Team Scout 서비스 이용 방식 및 사용자와 Team Scout 간의 권리·의무를 규정합니다. 본 이용약관에는 법적 권리에 관한 중요한 내용이 포함되어 있습니다. Team Scout 서비스를 이용함으로써, 귀하는 본 이용약관 및 당사의 개인정보처리방침에 동의합니다. 개인정보처리방침은 서비스 이용 시 귀하로부터 수집·이용·공유되는 정보에 관한 사항을 설명하며, 본 약관에 참조로 통합됩니다. 주의 깊게 읽어 주시기 바랍니다.

1. 일반 (GENERAL)
1.1 일반당사는 웹사이트, 모바일 앱, 소프트웨어 및 기타 온라인 제품과 서비스(그 안의 모든 콘텐츠 포함, 이하 통칭 “Team Scout 서비스” 또는 “서비스”)를 제공합니다. 여기에는 Team Scout가 호스팅하거나 제공하는 팀·리그·토너먼트 기타 페이지 및 애플리케이션이 포함되며, 본 약관의 적용과 규율을 받습니다.Team Scout Inc.는 델라웨어주에 본사를 두고 있으며(주소: [Address]), 여러 스포츠 종목에서 전 세계적으로 운영합니다. 당사의 브랜드·제품·서비스는 시간이 지남에 따라 발전할 수 있으며, 서비스 업데이트에 따라 특정 브랜드 요소에 대한 언급이 변경될 수 있습니다.

1.2 약관의 수락귀하는 본 약관에 따라 Team Scout 서비스에 접근할 수 있습니다. 귀하는 Team Scout 서비스에 접근·이용함에 있어 본 약관을 읽고 이해했으며 이에 구속되는 것에 동의함을 진술합니다. 동의하지 않으면 서비스를 이용할 수 없습니다. 서비스를 이용하면 본 약관에 동의한 것으로 간주됩니다.

1.3 자격 요건 (Eligibility)
1.3.1 Team Scout 서비스는 만 13세 이상이고 당사가 운영하는 국가(미국, 대한민국 등)에 거주하는 사용자를 대상으로 합니다. 미국에서는 만 13세 미만, 대한민국에서는 만 14세 미만(또는 해당 법에서 정한 연령 미만)인 경우, 또는 거주지 법령상 성년 또는 디지털 동의 연령에 미달하는 경우에는 부모 또는 법정대리인의 동의와 감독이 필요합니다. 적절한 동의 없이 연령 요건에 미달한다면 즉시 이용을 중단해야 합니다.

1.3.2 Team Scout는 재량으로 언제든 계정을 일시 중지할 수 있으며, 귀하가 본 약관상 자격 요건을 충족함을 증명하도록 요구할 수 있습니다. 증명하지 않거나 불이행할 경우, 당사는 귀하의 계정을 종료할 수 있으며(계정 내 보유 금액 환불 등 추가 책임 없음), 이에 대해 어떠한 책임도 지지 않습니다.

1.3.3 귀하는 (i) 미국 정부의 금수조치 또는 기타 무역 제재의 대상 국가에 위치하지 아니하고, (ii) 서비스 접근 및 이용이 적용 가능한 수출 통제 및 경제 제재 요구사항을 준수함을 진술·보증합니다.

1.4 추가 약관
1.4.1 조직 약관 및 개인정보처리방침
클럽·팀·리그·연맹 등 “조직(Organization)”의 사용자로서 서비스를 이용하는 경우, 조직이 부과하는 약관·정책의 적용에 동의합니다. 조직이 데이터 관리 주체(또는 보관자)로서 Team Scout에 제공하는 개인정보는 조직의 개인정보처리방침의 적용을 받습니다.

1.4.2 Team Scout 개인정보처리방침
귀하는 서비스 이용 시 Team Scout가 귀하로부터 수집·이용하는 정보가 당사의 개인정보처리방침에 의해 규율됨에 동의합니다. 또한 자격 확인을 위해 업로드하는 정보(출생증명서, 의료 동의서, 예방접종 증명 등 민감정보 포함)가 관련 조직 및 자격 심사에 필요한 제3자와 공유될 수 있음을 이해하고 이에 동의합니다(각 수신자의 정책 및 대한민국 PIPA 등 글로벌 개인정보법 준수).

1.4.3 결제 처리 및 제휴사
구독 또는 유료 서비스 결제를 이용하는 경우, 결제는 Stripe 또는 당사가 지정한 제3의 결제대행사를 통해 처리될 수 있습니다. 귀하의 거래는 본 약관과 해당 결제처의 약관·정책을 함께 따릅니다.

1.5 변경(개정)귀하의 서비스 접근·이용은 당시 시행 중인 최신 약관에 의해 규율됩니다. 당사는 재량으로 본 약관을 수시로 개정할 수 있으며, 개정 사항은 본 사이트 또는 서비스 내에 게시되는 즉시 효력이 발생합니다. 변경 이후에도 서비스를 계속 이용하면 변경된 약관에 동의한 것으로 간주됩니다. 수시로 본 페이지를 확인하시기 바랍니다.

1.6 계정 등록일부 서비스 접근을 위해 등록 정보 제공이 필요할 수 있습니다. 귀하는 정확하고 최신의 완전한 정보를 제공·유지할 책임이 있으며, 당사는 제공 정보의 진위를 확인할 수 있습니다. 서비스 및 로그인 자격증명(“비밀번호”)은 개인 용도로만 사용할 수 있으며, 비밀번호 보안 유지 책임은 전적으로 귀하에게 있습니다. 무단 사용 또는 보안 침해를 인지한 경우 즉시 당사에 알리십시오. 귀하는 언제든 계정을 해지할 수 있으며, 당사는 합리적 판단하에 본 약관 위반 또는 자격증명 도용·의심 사유가 있는 경우 계정 또는 비밀번호를 비활성화할 수 있습니다.

2. 정의 (DEFINITIONS)
Organization(조직): 연맹, 협회, 리그, 팀, 클럽 등 Team Scout 서비스를 이용하는 스포츠 단체
Administrator(관리자): 조직 내에서 서비스 사용 전반을 관리하도록 지정된 자 및 관리자 권한을 부여받은 모든 인원
Users(사용자): 계정 보유자, 선수/참가자(연령 요건 충족 또는 부모 동의), 학부모·보호자, 회원, 코치, 심판, 관리자, 자원봉사자, 매니저 등 서비스 이용자 전반
Organization Data(조직 데이터): Team Scout가 서비스 제공과 관련하여 조직의 구성원에 대해 처리하는 개인정보로서, Team Scout Data에 해당하지 않는 정보
Team Scout Data: 귀하가 서비스 이용 중 직접·독립적으로 제공하는 정보(연락처·계정·인구통계·선호·거래·회원 정보, UGC, 오디오/비디오, 리서치·피드백, B2B 관계 데이터 등)와 기기 정보·연결·이용 데이터·위치정보 등 자동으로 수집되는 정보

3. 서비스 (SERVICES)
3.1 서비스 제공 범위: 당사는 귀하에게 비양도·비재실시권의 제한적 라이선스를 부여하여, 본 약관에 따라 개인적 용도로 Team Scout 서비스를 접근·이용할 수 있게 합니다. 명시적 동의가 없는 한, 콘텐츠 요소는 제공되는 서비스 범위를 벗어나 이용·활용할 수 없습니다. 다운로드가 허용된 콘텐츠는 본 약관 준수 하에 귀하의 기기에 저장할 수 있습니다. 당사는 사전 통지나 책임 없이 언제든 서비스의 전부 또는 일부를 변경·중단·중지할 수 있습니다. 서비스 품질·정확성·가용성(블랙아웃, 위치/기기 제한, 호환성, 시청 가능 기간 등 포함)에 대해 어떠한 보증도 하지 않습니다.

3.2 무선 기능서비스는 모바일 네트워크를 통한 메시지 수신, 콘텐츠 업로드, 앱 다운로드 등 “무선 기능”을 제공할 수 있습니다. 해당 기능 이용 시 귀하의 통신사 요금제에 따른 비용이 발생할 수 있습니다.3.3 기기 및 요금서비스 이용에 필요한 기기·소프트웨어·인터넷·모바일 서비스 등의 준비 및 비용 부담은 전적으로 귀하의 책임입니다. 일부 무선 기능에는 통신사 또는 ISP의 제약 및 요금이 적용될 수 있습니다.

4. 콘텐츠 (CONTENT)
4.1 Team Scout 콘텐츠
서비스에는 당사 및 제3자가 보유하는 소프트웨어·이미지·영상·텍스트·웹사이트 디자인·템플릿·오디오 등(“콘텐츠”)이 포함됩니다. Team Scout는 서비스 및 콘텐츠에 대한 모든 권리(지식재산권 포함)를 보유하거나 사용 라이선스를 갖습니다. 본 약관에 명시된 경우를 제외하고, 귀하에게 어떠한 권리도 양도되지 않습니다. 특정 콘텐츠에 대해 소셜 미디어 재게시 등 명시적 허가가 제공되는 경우, 귀하는 변경 없이 개인 SNS에 게시할 수 있는 제한적·취소 가능한 라이선스를 부여받습니다.

4.2 사용자 생성 콘텐츠(UGC)서비스는 텍스트·파일·이미지·사진·오디오·비디오·음원·저작물 등(“UGC”)을 업로드·게시·전송·배포할 수 있는 기능을 제공할 수 있습니다. 귀하는 자신이 업로드하는 UGC와 그에 따른 결과에 대해 전적으로 책임을 집니다.
귀하는 권리가 없거나 Team Scout에 라이선스 부여를 원치 않는 콘텐츠를 업로드하지 않아야 합니다. UGC의 소유권은 귀하에게 있습니다. 다만, UGC를 업로드함으로써 귀하는 Team Scout에게 전 세계적으로 영구적·비독점적·취소불가·무상·완전지급·양도 가능하고 복수 단계 하위 라이선스가 가능한 라이선스를 부여합니다(이름·이미지·초상·음성 포함). Team Scout는 UGC를 수익화할 수 있으며, 귀하는 이에 대한 대가를 청구할 수 없습니다.
귀하는 UGC에 대한 권리를 보유하거나 필요한 권한을 확보했음을 진술·보증하며, UGC가 제3자 권리 또는 법령을 침해하지 않음을 보증합니다. 당사는 UGC를 호스팅할 의무가 없으며, 재량으로 삭제할 수 있습니다.

4.3 공개성UGC는 공개적으로 접근 가능할 수 있으며, 당사와 귀하 사이에 신탁 관계는 존재하지 않습니다. 당사는 서비스 또는 제3자 플랫폼에서 UGC를 완전히 제거함을 보장하지 않으며, 계정 종료 후에도 백업에 보관될 수 있습니다.

4.4 권리침해 정책명예훼손 또는 지식재산권 침해가 의심되는 UGC가 있다면, 필요한 세부 사항을 기재하여 [Email]로 서면 통지해 주십시오. 당사는 관련 법(예: 미국 저작권법)에 따라 UGC를 제거할 수 있습니다.

5. 제한 사항; 서비스 사용 (RESTRICTIONS; USE OF THE SERVICES)

5.1 금지 행위불법 또는 본 약관을 위반하는 행위를 금지합니다. 예: 불법/침해 콘텐츠 업로드, 괴롭힘, 사칭, 바이러스/멀웨어 유포, 증오·음란·반사회적 행위 등. 위반 의심 콘텐츠나 UGC는 hello@teamscout.app로 신고해 주십시오.

5.2 조사 및 모니터링당사는 법령·정부 요구 충족을 위해 필요 시 귀하의 이용을 검토·기록·복제·공개할 수 있습니다. 위반 시 UGC 수정·삭제, 경고, 계정 정지, 법적 조치 등 시정 조치를 취할 수 있으며, 이에 따른 책임을 지지 않습니다.

5.3 해지 및 정지계정 또는 서비스 접근의 해지·정지·취소(“해지”)는 당사가 가질 수 있는 권리나 구제수단에 영향을 미치지 않습니다. 당사는 통지 여부와 무관하게 언제든 계정을 해지할 수 있으며, 해지 시 귀하에게 부여된 권리는 즉시 소멸합니다 (법이 요구하지 않는 한 환불 없음).

6.진술 및 보증 (REPRESENTATIONS & WARRANTIES)
귀하는 (i) 모든 관련 법령 준수, (ii) 미성년자인 경우 부모/법정대리인 동의 확보, (iii) UGC 업로드 권리 보유, (iv) Team Scout의 UGC 이용이 제3자 권리를 침해하지 않음, (v) 법이 요구하는 모든 동의 취득, (vi) UGC로 인해 제3자에게 발생하는 로열티·수수료 등을 지급할 책임이 있음을 진술·보증합니다.

7.제3자 서비스 및 플랫폼 (THIRD-PARTY SERVICES & PLATFORM PROVIDERS)
7.1 제3자 서비스서비스에는 제3자 웹사이트·위젯·소프트웨어·서비스(“제3자 서비스”) 링크가 포함될 수 있습니다. 이는 편의를 위한 것이며, 당사는 이에 대해 책임지지 않습니다. 제3자와의 거래는 전적으로 귀하와 해당 제3자 간의 문제입니다.

7.2 제3자 플랫폼 제공자앱스토어(Apple App Store, Google Play 등)를 통해 서비스에 접근하는 경우, 해당 플랫폼 제공자는 본 약관의 당사자가 아니며 유지보수 의무를 지지 않습니다. 해당 플랫폼 이용 시 권리·의무는 각 플랫폼의 약관·정책을 따릅니다.

8. 면책 및 분쟁 (DISCLAIMERS AND DISPUTES)
8.1 보증의 부인당사는 서비스의 정확성·적시성·신뢰성·가용성·완전성에 대해 보증하지 않습니다. 서비스는 “있는 그대로(AS IS)” 및 “가용한 범위 내(AS AVAILABLE)”로 제공됩니다. 법이 허용하는 최대 범위에서, Team Scout와 그 모회사·계열사·임직원·대리인·라이선서 등(“Team Scout 당사자”)은 상품성·특정 목적 적합성·비침해성에 대한 묵시적 보증을 포함한 일체의 보증을 부인합니다.

8.2 책임의 제한어떠한 경우에도 Team Scout 당사자의 총 책임액은, 책임 발생 직전 12개월 동안 귀하가 Team Scout에 실제로 지급한 금액을 초과하지 않습니다. 또한 법이 허용하는 최대 한도 내에서, 간접적·징벌적·부수적·특별·결과적 손해 또는 사용 불능에서 비롯되는 손해에 대해 Team Scout 당사자는 책임을 지지 않습니다. 이는 손해 가능성에 대한 통지가 있었거나 법적 이론이 무엇이든 동일하게 적용됩니다.

8.3 금지명령 불인정귀하가 입을 수 있는 손해는 회복 불가능하거나 금지명령(가처분)을 정당화할 정도로 충분하지 않음을 인정합니다.

9.면책 (INDEMNIFICATION)
귀하는 (i) 본 약관 위반, (ii) 귀하의 UGC, (iii) 서비스 이용과 관련하여 발생하는 모든 청구·소송·손실·책임·손해·비용(합리적 변호사 비용 포함)에 대해 Team Scout 당사자를 방어하고 면책하는 데 동의합니다.

10.분쟁 해결 (DISPUTE RESOLUTION)
10.1 법원 제기본 약관 또는 서비스와 관련하여 발생하는 모든 분쟁·이견은 연방법원 또는 주 법원에서 해결하며, 어느 당사자도 중재를 강제당하지 않습니다.

10.2 준거법본 약관 및 당사와 귀하 간 관계는 미국 델라웨어주 법률을 준거법으로 하며, 법 충돌 원칙은 적용하지 않습니다. 국제물품매매계약에 관한 UN 협약은 적용되지 않습니다. 귀하는 적용 가능한 현지 법령 준수 책임이 있습니다.

10.3 관할 및 재판지본 약관에서 발생하는 모든 소송은 델라웨어주 소재 연방 또는 주 법원의 전속 관할에 따르며, 귀하는 해당 법원의 인적 관할권에 취소불가능하게 동의합니다.

11. 추가 조항 (ADDITIONAL TERMS)
11.1 캘리포니아 사용자 고지California Civil Code §1789.3에 따라, 캘리포니아 사용자는 소비자 권리 고지에 대한 정보를 받을 권리가 있습니다. 관련 법령에 기재된 주소 또는 전화번호로 California Department of Consumer Affairs 내 Complaint Assistance Unit에 문의할 수 있습니다.

11.2 권리 불포기당사의 권리 행사 지연 또는 불행사는 권리 포기로 해석되지 않습니다.

11.3 분리가능성조항 일부가 무효·집행불능으로 판단되더라도 나머지 조항은 계속해서 유효합니다.

11.4 완전합의본 약관은 해당 주제에 관한 당사자 간 완전한 합의를 구성하며, 이전의 모든 합의를 대체합니다. 단락 제목은 이해 편의를 위한 것이며 효력에 영향을 주지 않습니다.

11.5 양도본 약관은 당사자 및 그 승계인·양수인에게 효력이 있으며, 귀하는 당사의 사전 서면 동의 없이 권리·의무를 양도할 수 없습니다.

11.6 전자 통지귀하는 법적 서면 요건을 충족하는 전자적 통지 수신에 동의합니다.

11.7 대리인 지정귀하는 당사가 귀하가 부여한 권리를 확인하기 위해 적절하다고 판단하는 문서에 서명하거나 조치를 취할 수 있도록 당사를 귀하의 대리인으로 지정합니다.

11.8 존속그 성질상 해지 후에도 효력이 유지되어야 하는 조항(면책, 책임 제한, 분쟁 해결, 일반 조항 등)은 해지 이후에도 존속합니다.

12. 부가 약관: 구독형 서비스 / 요금 및 수수료 / 자동 갱신 및 결제수단 / 해지 및 환불 / 체험기간·프로모션
12.1 구독 일반일부 서비스는 무료이나, 일부는 구독료(월간·연간 등, “구독”)가 필요할 수 있습니다. 구독 등록 시 해당 요금 납부 및 본 약관(및 추가 약관)에 동의합니다.

12.2 계정구독 구매를 위해서는 유효한 Team Scout 계정 및 결제수단이 필요합니다. 허위·부정확 정보 제공 시 계정 또는 구독이 정지·해지될 수 있습니다.

12.3 요금 및 수수료(a) 구독 기간: 명시된 기간(“구독 기간”) 동안 접근 권한이 부여됩니다.
(b) 결제: 구독 기간에 대한 요금과 세금이 선결제되며, 법 또는 환불·취소정책에 명시된 경우를 제외하고 환불되지 않습니다.
(c) 요금 인상: 합리적 사전 고지 후 향후 기간에 대해 요금을 인상할 수 있습니다.
(d) 결제수단: 유효한 결제수단을 유지해야 하며, 결제 실패 시 접근이 정지·해지될 수 있습니다.

12.4 자동 갱신취소하지 않으면 구독은 당시 요금으로 자동 갱신됩니다. 취소하지 않음으로써 다음 구독 기간에 대한 결제를 승인한 것으로 간주됩니다.

12.5 해지 및 환불
언제든 고객지원 hello@teamscout.app 또는 제공되는 방법을 통해 구독을 해지할 수 있습니다. 법적 요구 또는 환불·취소정책에 명시된 경우를 제외하고 요금은 환불되지 않습니다.

12.6 체험기간(Trial)제공되는 경우, 체험기간 종료 전 해지하지 않으면 결제가 시작될 수 있습니다. 과금 방지를 위해서는 체험기간 내 해지해야 하며, 별도 명시가 없는 한 서비스당 1회만 체험할 수 있습니다.

(“Scout,” “Team Scout,” “we,” “us,” or “our”).We provide team and organizational relationship management software to coaches, parents, players (youth and adult), and sports organization administrators worldwide.The Team Scout Services are provided by Team Scout Inc. and its affiliated companies (including successors and assigns).By using the Team Scout Services, you accept and agree to be bound by these Terms of Use and our Privacy Policy (incorporated by reference). Please read them carefully.

1. GENERAL
1.1 GeneralWe offer websites, mobile apps, software, and other online products and services (including all content within, the “Team Scout Services” or “Services”).These include, without limitation, team, league, tournament, and other pages or applications hosted on or provided by Team Scout and governed by these Terms of Use.

Team Scout Inc. is based in Delaware at [Address].We operate globally and initially launch in South Korea before expanding worldwide. Our brands, products, and services may evolve over time.

1.2 Acceptance of the Terms of Use
You may access the Team Scout Services only in accordance with these Terms of Use.
By accessing or using the Team Scout Services, you represent that you have read, understood, and agree to be bound by these Terms of Use.If you do not agree, you may not access or use the Team Scout Services.

1.3 Eligibility
1.3.1 The Services are for users 13+ in countries where we operate (including the U.S. and South Korea). If you are under 13 in the U.S. (or under 14 in South Korea, or under your jurisdiction’s age of majority/digital consent), you must have parental/legal guardian consent and supervision to use the Services.If you are under the required age without appropriate consent, discontinue use immediately.

1.3.2 Team Scout may, in its sole discretion and without liability, suspend your account at any time and require proof that you meet eligibility criteria.Failure to comply or provide proof may result in account closure without further liability (including no refunds).

1.3.3 By accessing or using the Services, you represent and warrant that (i) you are not located in a country subject to a U.S. government embargo or other trade restrictions; and (ii) your access and use will comply with applicable export control and sanctions requirements.

1.4 Additional Terms
1.4.1 Organization Terms & Privacy PolicyIf you access the Services as a user of an Organization (club, team, league, federation), your access and use may be subject to that Organization’s terms and privacy policy, to the extent the Organization acts as data controller/custodian.

1.4.2 Team Scout Privacy PolicyYour use of the Services is governed by our Privacy Policy.Where relevant, you direct Team Scout to share information or documents you upload for eligibility determinations (e.g., birth certificates, medical waivers, vaccination proof, or other sensitive data) with the relevant Organization and entities required to review it, subject to each recipient’s privacy policy and laws such as South Korea’s PIPA and other global regulations.

1.4.3 Payment Processing and Affiliates
Payment features (e.g., subscriptions or purchases) may be handled by Stripe or another third-party processor. Your transactions are subject to these Terms of Use and the payment processor’s terms/policies.

1.5 Modifications
Your access to or use of the Services is governed by the then-current Terms of Use. We may modify these Terms of Use at any time in our sole discretion, effective upon posting to the site or within the Services. Your continued use after changes are posted constitutes acceptance of the modified Terms. Please check back periodically.

1.6 Account Registration
You may be required to provide registration information to access some Services.You are responsible for providing accurate, current, and complete information and maintaining its accuracy.We may verify information you provide. Usernames and passwords (“Passwords”) are for personal use only. You are solely responsible for security of your Passwords and must notify us immediately of any unauthorized use or security breach. You may terminate your account at any time. We may disable your account or password at any time for any reason (including suspected or actual breach of these Terms).

2. DEFINITIONS
Organization: A governing body, federation, league, team, club, or similar entity using the Services.
Administrator(s): Person(s) nominated by the Organization to administer and control use of the Services, including anyone given admin access.
Users: End users of the Services (account holders, athletes/players/participants meeting age thresholds or with parental consent, parents/guardians, members, coaches, officials, Administrators, volunteers, managers, and any other end-users).
Organization Data: Any personal data relating to the Organization’s members that Team Scout processes in providing the Services and that is not Team Scout Data.
Team Scout Data: Information you provide directly and independently when using the Services (e.g., contact/account data, demographics, interests, transactional/membership info, UGC, audio/video, research/feedback, B2B data) plus information collected automatically (device, connection/usage, geolocation).

3. SERVICES
3.1 Availability of Services
We grant you a limited, non-sublicensable, non-transferable license to access and use the Services for your personal use, in accordance with these Terms. Unless expressly agreed in writing, no content element may be used or exploited outside the authorized Services.Where the Services make content available for download, you may download it to your device in compliance with these Terms.We may change, suspend, or discontinue any/all Services at any time without notice or liability.We make no representations or warranties about quality, accuracy, or availability, including possible blackouts, location/device limitations, compatibility, or viewing windows.

3.2 Wireless Features
The Services may offer mobile network features (e.g., receiving messages, uploading content, downloading apps) (“Wireless Features”).By using Wireless Features, you agree we may send communications to your device, and your carrier’s normal rates/fees apply.

3.3 Devices and Charges
You are solely responsible for obtaining all devices, software, connectivity, mobile service, and other services needed for use, and for all related charges.Your carrier/ISP may charge fees or impose restrictions for certain Wireless Features.

4. CONTENT
4.1 Team Scout Content
The Services include materials owned by us and third parties, including software, images, videos, text, website designs/templates, and audio (“Content”). As between you and Team Scout, we own or are licensed to use all rights, title, and interest in the Services and Content, including all IP and proprietary rights.Except as expressly stated in these Terms, nothing grants you any rights in the Services or Content. If the Services explicitly authorize use of certain Content (e.g., reposting on social media), we grant a limited, revocable license to post such Content on your personal social accounts without modification and in accordance with applicable terms.

4.2 User-Generated Content (UGC)
The Services may allow you to upload/post/publish/display/transmit/distribute text, files, images, photos, audio, video, clips, sounds, musical works, works of authorship, or other materials (“User-Generated Content” or “UGC”).You are solely responsible for UGC you upload and the consequences of doing so.
Do not upload content you lack rights to or do not wish to license to Team Scout.You retain ownership of your UGC.By uploading UGC, you grant Team Scout a perpetual, non-exclusive, irrevocable, royalty-free, fully paid-up, transferable, and sub-licensable (through multiple tiers) worldwide license to use, reproduce, transmit, adapt, prepare derivative works, publicly display, publicly perform, exhibit, modify, edit, distribute, incorporate into other works, and otherwise exploit, in whole or in part, any UGC (including your name, image, likeness, and voice as they appear in that UGC) in any manner and media now known or later developed.You agree Team Scout may monetize UGC and you are not entitled to compensation.You represent and warrant that you own/have necessary rights to upload UGC and that it does not violate third-party rights or laws.We have no obligation to host/serve UGC and may remove UGC at our sole discretion.

4.3 Public Nature of ServicesUGC may be publicly accessible, and no fiduciary relationship exists between us and you.We do not guarantee removal of UGC from the Services or third-party platforms and may retain UGC in backups after account termination.

4.4 Infringement PolicyIf you believe UGC is defamatory or infringes IP, send a written notice to [Email] with the details required under our Infringement Policy.We may remove UGC in accordance with applicable laws, including U.S. Copyright Act provisions.

5. RESTRICTIONS; USE OF THE TEAM SCOUT SERVICES
5.1 Prohibited ActionsYou may not engage in activities that violate the law or these Terms, including uploading unlawful/infringing material, harassment, impersonation, distributing malware, or engaging in hateful/obscene/objectionable behavior. Report violations to hello@teamscout.app.

5.2 Investigations and MonitoringWe may (but are not obligated to) examine, record, copy, and disclose your use of the Services as necessary to satisfy any law, regulation, or governmental request.We may take corrective actions (modify/remove UGC, warn users, suspend accounts, take legal action) without liability.

5.3 Termination and SuspensionTermination, suspension, or cancellation of your account or access (“Termination”) does not affect our rights or remedies.We may terminate at any time, with or without notice. Upon Termination, all rights granted to you immediately revert to us without refund unless required by law.

6. REPRESENTATIONS & WARRANTIES
You represent and warrant that:(i) you comply with applicable laws and regulations;(ii) if under the age of majority, you have parental/guardian consent to enter these Terms and use the Services;(iii) you own or have rights to upload UGC;(iv) Team Scout’s use of UGC does not violate third-party rights;(v) you obtained all legally required consents to upload UGC and permit our uses; and(vi) you will pay all royalties/fees owed to any person by reason of UGC you upload.

7. THIRD-PARTY SERVICES & PLATFORM PROVIDERS
7.1 Third-Party ServicesThe Services may provide links to third-party websites, widgets, software, or services (“Third-Party Services”).They are provided for convenience; we are not responsible for them.Your dealings are solely between you and the third party.

7.2 Third-Party Platform ProvidersIf you access the Services via a third-party platform (e.g., Apple App Store, Google Play), those providers are not parties to these Terms and have no obligation to provide maintenance or support.Your rights/obligations are governed by the platform’s terms and policies.

8. DISCLAIMERS AND DISPUTES
8.1 Disclaimer of Warranties
We make no representations or warranties about the Services’ accuracy, timeliness, reliability, availability, or completeness.THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”To the maximum extent permitted by law, Team Scout, its parent, affiliates, directors, officers, employees, agents, licensees, and licensors (collectively, the “Team Scout Parties”) disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2 Limitation of Liability
In no event will the Team Scout Parties’ aggregate liability to you exceed the amount (if any) actually paid by you to Team Scout in the twelve (12) months immediately preceding the event giving rise to liability.To the maximum extent permitted by law, in no event will any Team Scout Party be liable for any indirect, punitive, incidental, special, consequential damages, or any damages arising from your use of or inability to use the Services, even if advised of the possibility and regardless of theory.

8.3 No Injunctive Relief
You acknowledge that any damages you incur are not irreparable and are insufficient to entitle you to injunctive or other equitable relief restricting availability of the Services or Content.

9.INDEMNIFICATION
You agree to defend, indemnify, and hold harmless the Team Scout Parties from and against any and all claims, suits, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to (i) your breach of these Terms; (ii) your UGC; and/or (iii) your use of the Services.

10. DISPUTE RESOLUTION
10.1 Disputes to Be Heard in CourtAny complaint, dispute, or disagreement arising out of or related to these Terms or the Services shall be resolved in federal or state courts. Neither party shall be required to arbitrate.

10.2 Applicable LawThese Terms and the relationship between you and us are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-laws principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply.You are responsible for complying with local laws, if applicable.

10.3 Jurisdiction and VenueAny action or proceeding shall be brought exclusively in the federal or state courts located in Delaware, and you irrevocably consent to personal jurisdiction of such courts.

11. ADDITIONAL TERMS
11.1 Notice for California UsersUnder California Civil Code §1789.3, California users are entitled to consumer rights notice. Contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at the address/telephone numbers listed in applicable laws.

11.2 No Waiver
No failure or delay in exercising any right operates as a waiver.

11.3 Severability
If any provision is invalid or unenforceable, the remaining provisions remain in full force and effect.

11.4 Entire AgreementThese Terms constitute the entire agreement and supersede all prior agreements regarding the subject matter. Paragraph titles are for convenience only.

11.5 AssignmentThese Terms bind and inure to the benefit of the parties and their successors/assigns. You may not assign without our prior written consent.

11.6 Electronic NoticeYou consent to receive notices electronically, satisfying legal requirements for written communications.

11.7 Agent DesignationYou appoint us as your agent with authority to execute documents or take actions we deem appropriate to confirm the rights you grant to us.

11.8 SurvivalSections that by their nature should survive termination will survive, including disclaimers, limitations of liability, indemnification, dispute resolution, and general provisions.

12. SUPPLEMENTAL TERMS: SUBSCRIPTION SERVICES; CHARGES & FEES; AUTOMATIC RENEWAL; CANCELLATIONS & REFUNDS; TRIALS
12.1 Subscriptions
Some Services are free; others require paid subscriptions (monthly, annually, or otherwise) (“Subscription”).By registering, you agree to pay applicable fees and abide by these Terms and any additional terms.

12.2 Account
To purchase a Subscription, you must have a valid Team Scout account and current, accepted payment method.If information you provide is untrue or inaccurate, we may suspend or terminate your account or Subscription.

12.3 Charges & Fees
(a) Subscription Period: Access for the indicated term.(b) Payment and Fees: Billed upfront for the Subscription Period plus taxes. Fees are generally non-refundable unless required by law or stated in our Refund & Cancellation Policy.(c) Price Increases: We may increase fees with reasonable advance notice, applied prospectively.(d) Payment Method: You must maintain a valid payment method; failure may result in suspension/termination.

12.4 Automatic Renewal
Unless you cancel, your Subscription automatically renews at the then-current price.By not canceling, you authorize us to charge your payment method for the next period.

12.5 Cancellation & Refunds
You may cancel at any time by contacting customer service at hello@teamscout.app or via provided methods. Fees are non-refundable except as required by law or stated in our Refund & Cancellation Policy.

12.6 Trial Periods / Promotional Offers
If offered, trial periods allow temporary free access.If you do not cancel before the trial ends, we may begin charging your payment method. Cancel during the trial to avoid charges. Unless stated otherwise, one trial per Service.
